Companies that did not carry out business activities in 2019 must file a declaration of lack of activity in the Commercial Register not later than 31 March 2020.

Sole proprietors who are not subject to statutory independent financial audit, as well as sole proprietors who did not operate during 2019, do NOT submit a non-activity declaration.

All non-profit legal entities (associations, foundations and community centers), whether in public or private benefit, who have re-registered with the Registry Agency, shall announce a declaration of lack of activity in the Register of non-profit legal entities not later than 31 March 2020.

Non re-registered NGOs, that did not carry out activities in 2019, must publish a non-activity declaration through a business publication or Internet by 31 March 2020. The declaration can also be published on the website of the respective NGO.

Once a declaration of lack of activity for 2019 is announced and if no activity is carried out during 2020, companies and NGOs will not submit a new declaration in the coming years.

For submission of a declaration of lack of activity to the Commercial Register and the Register of non-profit legal entities the following documents are required:
  1. Application, Model G3;
  2. Standard form declaration of lack of activity under Art. 38, para. 9, item 2 of the Accountancy Act;
  3. Declaration of lack of activity under Art. 38, para. 9, item 2 of the Accountancy Act, in which personal data, except those required by law, are deleted;
  4. Standard form affidavit that the circumstance to be registered with the Commercial Register and the Register of non-profit legal entities are true and genuine;
  5. Power of attorney.

Since long queues are formed in March in front of the offices of the Registry Agency, in order to save time we highly recommend you to submit the documents electronically.

The documents can be submitted personally by the legal representative of the respective company or NGO (e.g. the manager, the executive director, etc.).

An attorney may also publish the declaration of lack of activity by an electronic signature.

The accountant of the company or the NGO is NOT entitled to submit a declaration of non-activity.

No state fee for publishing a non-activity declaration in the Commercial Register and in the Register of NGOs is due.

By April 30, 2020, the Registry Agency must send to the National Revenue Authority a list of the companies and NGOs who have applied for announcing in the Commercial Register and the Register of non-profit legal entities a declaration of lack of activity. Persons who have not fulfilled their obligation to publish the said declaration within the stipulated time face severe fines.

Additionally, companies and NGOs that did not carry out activities in 2019 have an obligation to declare the said circumstances with the National Statistical Institute not later than 30 April 2020.
